Official Rules for America's Cup Affiliate Competition

1. Prizes. Three prizes will be awarded. Each prize includes:
• One (1) round-trip economy ticket from the gateway city closest to winner's residence in the U.S., Canada, or U.K. to Spain, subject to availability.
• Transfer from Spanish Airport to the hotel in Valencia, Spain.
• One standard room for three (3) nights at hotel in or near Valencia, Spain and three (3) meals a day
• America’s Cup-related activities.
• Return transfer, including all onward connections, back to original city of departure.

2. The approximate retail value of each prize is $4,000, depending on actual itinerary.

3. Winners. The winners will be the three eligible affiliates who earn the highest total commission from sales of 1&1 Internet Inc. (“1&1”) products within the below-mentioned period according to the data collected through 1&1’s affiliate tracking links and determined pursuant to the applicable affiliate program terms and conditions. For individuals who are members of more than one 1&1 affiliate program, earnings from multiple programs will not be combined in calculating the total commission. All decisions are final and binding. Each winner will be notified by e-mail to the e-mail address associated with his or her affiliate account within 7 days of the end of the contest. Each winner may be required to provide complete contact information and sign an affidavit of eligibility and liability/publicity release which must be returned within 14 days of attempted notification or an alternate winner may be chosen. All federal, state, provincial and local taxes are the responsibility of the winner. A 1099 form will be filed with the IRS for major prizewinners. Winner may make no substitution or transfer of prize, nor may prizes be redeemed for cash. 1&1 reserves the right to substitute a prize of equal or greater value. If a selected winner cannot be contacted or is ineligible, prize may be forfeited and an alternate winner selected at 1&1’s sole discretion.

4. Eligibility. This contest is open to active, participating 1&1 affiliates, whether through 1&1, Commission Junction, or Link Connector, who are legal residents of the 50 United States (excluding Rhode Island and Puerto Rico), Canada (excluding Quebec), and the United Kingdom only. Employees of 1&1, its affiliates, subsidiaries and parent corporation and members of their immediate family are not eligible to win. Winners must be eighteen years of age or older. Limit of one (1) prizewinner per household. 1&1 RESERVES THE RIGHT AT ITS SOLE DISCRETION TO DISQUALIFY ANY INDIVIDUAL IT FINDS TO BE IN VIOLATION OF THESE OFFICIAL RULES OR OF THE TERMS AND CONDITIONS OF THE APPLICABLE AFFILIATE PROGRAM.

5. Entry Requirements. NO PURCHASE IS NECESSARY TO ENTER OR WIN THE CONTEST. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. Eligible participants in any 1&1 affiliate program are automatically eligible for the grand prize, including participants in the 1&1 C2C Affiliate, Commission Junction US, and LinkConnector programs. Current 1&1 customers who want to become an affiliate program participant should go to their 1&1 Customer Control Panel ‘Affiliate Section’ to obtain their unique affiliate tracking link.. 6. Contest Dates. Affiliate commissions earned between 12:01 a.m., Eastern Standard Time on February 1, 2006 and midnight, Eastern Standard Time on March 31, 2006 will count towards the aggregate commissions earned for the purposes of this contest.

7. Use of Winner’s Name and Likeness. By accepting the prize, winner agrees to the use of his/her name, voice, and/or likeness for the purpose of advertising, trade or promotion without further compensation, unless prohibited by law.

8. Liability. 1&1 shall not be responsible for any damages, taxes, or expenses that the winner might incur as a result of this contest, or receipt and/or use of prize. By participating in the contest, each participant agrees to the terms set forth within the above stated rules and regulations. If, for any reason, the Contest is not capable of completion as planned, including by reason of infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures or any other causes beyond the control of Company which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, Company reserves the right at their sole discretion to cancel, terminate, modify or suspend the Contest. This Contest is governed by the laws of the United States and is subject to all applicable federal, state, and local laws and regulations. VOID IN PUERTO RICO AND WHERE PROHIBITED.

9. Damage. ANY ATTEMPT BY AN AFFILIATE PROGRAM MEMBER OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, 1&1 RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.
